I try to erase my Apple Watch but it says erase pending and the person that has the Watch now is trying to pair it with her phone but she says it shows “activation lock” now she is asking me for my Apple ID and password but I don’t want to give it to her  what can i do or she can do so she can be able to pair it without giving her my Apple ID ?

Have them bring the Watch back so you can release the activation lock for them.

They live in another state and they can’t bring it back.

Sounds like you'll need to refund their money and start over with the sale.

What if I give them my Apple id and password and then change my password will they still have access to my account and messages ?

In a very short period of time, they can change your password and own your account. They can reach out and erase your phone remotely, they can use up any Store credit you have, they can vandalize your account, and they can send legit looking emails to all of your contacts asking for money or sending obscene photos.

You sure you want them to have your Apple ID and password?
