iTunes could not connect to the iPad

The following popup several times per hour when I am browsing on Mac or other activities. It always complains about the iPad, never my iPhone. Why is it a problem that I have a password locked iPad? If I log into the iPad it will happen again soon.

iTunes could not connect to the iPad “Dick's IPad” because it is locked with a passcode. You must enter your passcode on the iPad before it can be used with iTunes.
