Can Find My iPhone track a wi

I lost my wi-fi only iPad that was turned off and has a six-digit security code.  How will it connect to wi-fi if they can't unlock the iPad once they turn it on, and if they know how to do a full factory reset and connect to their wi-fi, will it still show up in Find My iPhone?  Will the "Lost" message still appear?  I turned on the "notify me when found" setting, will I actually be notified after a factory reset?
